[CENL-EC] Additional papers for the EC meeting: Amendments of CENL Statutes

Dear EC members,

Please find attached the documents as we have received them from the notary so that we can vote on the changes to our constitution in a legally correct manner. All these 4 documents together form our Paper 04 (as noted in the agenda).

These are:

Ø  the continuous text of the articles of association (statutes) of CENL (both in Dutch and English) which reflect the changes made in track changes; and
Ø  the draft deed of amendment to the articles of association (statutes) of CENL (both in Dutch and English) to implement the changes to the articles of association.

Please note that the English version of these documents is an unofficial translation of the Dutch version. In the English versions, defined terms are capitalised but in the Dutch version they are lowercase. Consequently, it seems as if more changes have been made to the English continuous text of the articles compared to the Dutch version. These clean-up changes can however be implemented without the need to include these in the draft deed of amendment (since the English version is an unofficial document).

Finally, note that the articles of association currently do not stipulate that a meeting should be held at a physical location. Therefore, it seems fine from my [i.e. the notary’s] perspective that the EC meets online provided that (1) it's clear from the minutes that all members of the EC are present at such meeting and (2) that all members of the EC are able to communicate with one another during the meeting (i.e. Teams [or Zoom] meeting would be fine, but a meeting where someone dials in but is in no position to speak would not be ok).

The other missing papers will be sent to you on Monday, next week.
