Thank you very much for your helpful input! Pawel and I have answered your comments in the document and made some changes to the document. Please take a look and let us know if you have any other concerns, possibly by the end of the week.
We want to use our next meeting of the AG Legal on September, 30th to finalise the Agreement. We want to encourage everyone to come to the meeting. We promised Philippe to be done by the end of the month, so it is the final countdown. ;)

Just to add my three cents to the discussion: I think a contract like this should try to create a fair balance between the parties. If there are natural differences in their situations, the contract should help to even them out a bit.
In practice, the archive often finds itself in a weaker position. Even when both sides are public research institutions, hosting data still brings costs and risks. To keep things fair, some of these risks need to be shared with, or even shifted towards, the depositor.
Another point is that archives are an essential part of the research infrastructure. If they are not told, “this is just a small service, you risk very little”, they may not be motivated to participate, and withot strong archives, the infrastructure as a whole cannot thrive.
That’s why I suggested placing a somewhat bigger share of responsibility on depositors when drafting the contract. Of course, the flip side is that if the terms feel too heavy, depositors may be discouraged—which isn’t good for the infrastructure either.
Finally, I agree it might be helpful to soften the wording a little without changing the actual balance of responsibilities. As a lawyer, I’m used to contracts being written in very clear, no-nonsense terms, but I see your point that these contracts will often be read by non-lawyers.

It is true that this reads quite sternly and places a large and very explicit burden of responsibility and liability on the researchers. It would be useful to check where the language can be made a little less threatening.
Compare this with Zenodo (one alternative to a deposit with Text+ that many in DH use). They handle things with a "terms of use" document – https://about.zenodo.org/terms/ – but no service-level agreements, no individual documents signed. Similarly clear with respect to the liability of the researchers (#3), but certainly a lot less stern.
